General terms and conditions of Thaevenweb, owner Roman Elsässer, c/o Impressumservice Dein-Impressum, Stettiner Str. 41, 35410 Hungen (hereinafter “we”). Last updated: October 2026.
§ 1 Scope
(1) These terms and conditions apply to all contracts between us and our clients for the creation of websites and their ongoing care, in particular to orders placed via our website.
(2) Our offers are aimed exclusively at entrepreneurs within the meaning of § 14 BGB (German Civil Code), legal entities under public law and special funds under public law. We do not conclude contracts with consumers via online ordering.
(3) Deviating terms of the client only apply if we expressly agree to them in text form.
§ 2 Conclusion of the contract
(1) The presentation of the packages on our website does not constitute a binding offer. By clicking “Order and pay”, the client submits a binding offer.
(2) The contract is concluded when we confirm the order by email, and at the latest upon successful payment. The contract language is German.
(3) For shops and custom services, we prepare a separate quote; these terms and conditions apply in addition.
§ 3 Services
(1) We create the website within the scope of the selected package as described at the time of ordering (Onepage: one page with several sections; Business Website: several subpages). We agree the details of the content with the client on the basis of the briefing.
(2) We implement change requests within the agreed scope. Additional pages, features or services that go beyond the package are agreed and charged separately.
(3) We may use subcontractors and service providers (e.g. hosting providers).
§ 4 Cooperation of the client
(1) The client provides the information and content required for the website (e.g. briefing, copy, images, logo) in good time and approves interim versions promptly. If the client’s cooperation is delayed, agreed deadlines are postponed accordingly.
(2) The client warrants that they hold the necessary rights to all content supplied and indemnifies us against third-party claims based on this content.
(3) The client remains responsible for the legal content of their website (e.g. legal notice, privacy policy, price information, advertising claims). We implement legal texts supplied to us but do not provide legal advice.
§ 5 Approval and acceptance
(1) We provide interim versions and the finished result for approval in the client area, or by email for a purchase without care. Approval of the finished result constitutes acceptance.
(2) The website is also deemed accepted if the client uses it productively, or if the client does not respond within 14 days of our request for acceptance although we have pointed out this consequence, provided there are no material defects.
§ 6 “With care” model
(1) In the model with care, the client pays a one-off setup fee and a monthly care fee. The services of the Basic and Complete plans are set out in the description at the time the contract is concluded.
(2) Included changes cover the upkeep of existing content to a reasonable extent, e.g. text, images, opening hours and prices. New pages, new features or a redesign are separate services.
(3) We provide hosting and the domain for the duration of the care. If the client already has a domain or a hosting provider, both can remain with the client by arrangement.
(4) We strive to keep the website available as much as possible. We do not owe uninterrupted availability; maintenance work and disruptions at third-party providers are reserved.
§ 7 Term and termination of care
(1) The care has a minimum term of 12 months from conclusion of the contract. After that, it can be terminated at the end of any billing month.
(2) Termination is possible in the client area or in text form (e.g. by email). The right to extraordinary termination for good cause remains unaffected.
(3) When the contract ends, we take the website offline unless the client takes it over in accordance with § 8. On request, we help move the domain to a provider of the client’s choice.
§ 8 Rights of use, purchase and takeover
(1) Purchase without care: Upon full payment, the client receives the exclusive right, unlimited in time and territory, to use, publish and modify the website created for them, or to have it modified. We hand over the files and help set it up with a hosting provider of the client’s choice.
(2) With care: During the term, the client receives a non-exclusive, non-transferable right to use the website for their business. The website remains our property until it is taken over.
(3) Takeover (takeover price): The client may take over the website at the end of the contract, at the earliest at the end of the minimum term. The takeover price is the takeover value of the package valid at the time the contract was concluded (currently €1,500 for the Onepage and €3,000 for the Business Website), reduced by 1/36 for every full contract month up to the end of the contract. After 36 contract months the takeover is free. Example Onepage: contract ends after 12 months €1,000, after 24 months €500. Upon payment of the takeover price and the end of the contract, the client receives the rights under paragraph 1.
(4) Third-party components (e.g. fonts, software libraries, licensed images) are excluded; the respective licences apply to them.
(5) We may show the website with the client’s name and logo as a reference. The client may object to this at any time in text form.
§ 9 Prices and payment
(1) The prices valid at the time of ordering apply. No VAT is charged under the small business rule (§ 19 UStG).
(2) The setup fee and the first monthly fee, or the purchase price, are due on ordering; after that, the care fee is due monthly in advance. Payment is made via our payment service provider Stripe. We provide invoices electronically.
(3) If a payment fails, we may suspend the care services after an unsuccessful payment reminder until the amount has been settled. In all other respects, the statutory rules on default of payment apply.
(4) We will notify the client of price changes to the care in text form at least six weeks in advance. The client may then terminate the contract with effect from the date of the change.
(5) Launch price: The first 10 care contracts receive a launch price of €49.99 (Basic) or €99.99 (Complete) a month. It applies for the entire term of the respective contract, also after a plan change; paragraph 4 does not apply to it.
§ 10 Defects
The statutory provisions apply, with the proviso that the client must report obvious defects in text form within 14 days of acceptance. We may, at our discretion, remedy the defect or produce the work anew.
§ 11 Liability
(1) We are liable without limitation for intent and gross negligence, for injury to life, body or health, and under the German Product Liability Act (Produkthaftungsgesetz).
(2) In the event of slight negligence, we are only liable for the breach of a material contractual obligation, and only up to the foreseeable damage typical for this type of contract. For loss of data, we are only liable up to the amount that would have been incurred had data been backed up regularly.
§ 12 Data protection
Where we process personal data on behalf of the client as part of the care (e.g. hosting, contact forms, visitor counting), we conclude a data processing agreement with the client in accordance with Art. 28 GDPR.
§ 13 Client area
(1) The client area is available to clients with an active care plan. After the care plan ends, including after a takeover, it remains accessible for another 30 days. There is no client area for a purchase without care.
(2) The client keeps their login details secret and informs us without delay if they suspect misuse.
§ 14 Final provisions
(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
(2) If the client is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction is our place of business.
(3) Should any provision be invalid, the validity of the remaining provisions remains unaffected.
